TERMS AND CONDITIONS
MEMBER SERVICE AGREEMENT
The executed Crew CoWork, LLC Member Service Agreement ("MSA") constitutes a licensing agreement between the licensee ("Member") that executed the MSA and Crew CoWork, LLC listed in Crew CoWork, LLC Summary section of these Terms and Conditions. Crew CoWork, LLC is an independent owner and operator of the Member’s home Crew CoWork, LLC location.
Business Center Rules
In addition to these Terms and Conditions, the Business Center may have additional guidelines (“Business Center Rules”) that Members utilizing the space or services must abide by and will be furnished upon request. In the event of any inconsistency between the provisions of the Business Center Rules and the Terms and Conditions, the terms of the Business Center Rules shall control.
Invoices
Invoices will be distributed via email and will include any: 1) monthly fees as described in the MSA, which are billed in advance, and 2) usage charges for the previous month. Any one-time expenses such as set up fees, service retainers, late fees or prorated monthly fees may be invoiced at any time.
Payment
Payment of monthly invoices is due as outlined on your invoice. All month-to-month Members are required to utilize the auto-bill system. Auto-bill payments are charged to the ACH, credit card or debit card on the day indicated on your invoice. Members not on a month-to-month MSA may either pay by check, ACH or sign up for the auto-bill system. Checks may be dropped off at Crew CoWork, LLC reception desk or mailed to Crew CoWork, LLC. All set up fees or retainers must be paid in full prior to the commencement of service. No cash payments will be accepted. If Member has selected auto-bill, Member has authorized Crew CoWork, LLC to charge Member’s account for all current fees and all past due invoices, which may be charged as separate payments.
Sales Tax
Members agree to pay any applicable sales tax as required by any governmental agency.
Credit Card/Payment Processing Fees, Late Fees and Insufficient Funds
Crew CoWork, LLC Operator may pass through payment processing fees to you, where permitted by law. For recurring invoices not paid by the invoice due date, a late fee will be assessed in the amount of the lesser of 10% of the overdue balance, or the highest amount permitted by applicable law. Crew CoWork, LLC will not be responsible for any insufficient fund fees charged by Member’s bank as a result of auto-bill. Crew CoWork, LLC will charge a minimum fee of $25 each time any charge or debit cannot be collected due to insufficient funds.
Retainer
The retainer amount shown in the MSA must be paid by Member at time of the MSA execution. The retainer will be held by Crew CoWork, LLC throughout the initial term and any automatic renewal period to secure the performance of Member’s obligations, covenants, and agreements. Crew CoWork, LLC shall have the right to apply all or any portion of such retainer to cure any and all defaults of Member under the MSA, including any damage or alterations to Crew CoWork, LLC. Crew CoWork, LLC agrees to return the balance of the retainer to the Member, without interest, within 60 days after termination. Crew CoWork, LLC shall use commercially reasonable efforts to return the retainer to the Member. If the Member cannot be located, the retainer shall be forfeited one year after termination of the MSA.
Cleaning and Restoration Fee.
A minimum cleaning and restoration fee of $200 shall be charged upon move out for any dedicated space occupied by a Member. This fee covers cleaning and restoration of the space, including removal of abandoned items. This fee will be determined at the sole discretion of Crew CoWork, LLC.
Termination by Month-To-Month Member
Any Member with a month-to-month MSA may terminate the MSA by contacting Crew CoWork, LLC via email, personal delivery, or certified mail requesting termination in writing. Such termination shall be effective 30 days following receipt by Crew CoWork, LLC. A final invoice will be issued after the termination date for any remaining usage charges. Upon the termination date, all services shall immediately cease.
Termination by Other Members
Members with a MSA containing a term other than month-to-month may terminate the MSA early by sending an email, personal delivery, or certified mail to Crew CoWork, LLC requesting termination in writing at least 30 days prior to the requested termination date. Members may terminate prior to their contracted end date by, 1) agreeing to pay an early termination fee where applicable, and 2) paying all invoices and fees on or before the termination date. The early termination fee is equal to the greater of a) 3 months fees, or b) one-third of the remaining total obligation. All fees including any applicable late fees, interest and early termination fees set forth in the MSA must be paid prior to the requested termination date. Termination shall be effective on the last day of the next month following receipt of notice if the above terms are met.
Automatic Renewal
At the end of the initial term, the Member’s MSA may automatically renew at the same term as the initial MSA at the current pricing. The renewal of the MSA at the end of the original term is subject to approval by Crew CoWork, LLC in its sole discretion. Such renewals are subject to any then current pricing determined by Crew CoWork, LLC as stated in Price Changes and Terms and Conditions section of these Terms and Conditions.
Meeting Room Cancellation Policy
All meeting room reservations have a minimum 24-hour cancellation policy unless otherwise noted by Crew CoWork, LLC. Failure to comply with this policy will result in Member being charged the full price of the scheduled meeting. Contact Crew CoWork, LLC for details.
Service Offerings
The services provided to our members are outlined in the Member Service Agreement (MSA) and accompanying sales documents. While certain limitations may apply, members have the option to enhance their experience by availing additional services for an extra fee. It's important to note that these services are intended for the exclusive and personal use of individual members or groups, and are not to be utilized as a substitute for call center operations, corporate/medical reception services, or similar functions. Crew CoWork, LLC reserves the right to notify members if their usage deviates from this policy and may impose restrictions or charges for excessive utilization.
Internet and Telephone Services
As part of our commitment to facilitating business operations, Crew CoWork, LLC undertakes to provide commercially viable business-level Internet access primarily for email, web browsing, and occasional data transfers. Additionally, members have the option to arrange telephone services through their preferred provider at their own expense. While every effort is made to maintain uninterrupted services, Crew CoWork, LLC shall not be held liable for any loss of service due to maintenance or technical failures. Crew CoWork, LLC may allocate bandwidth and regulate specific uses among members to ensure equitable service provision. Members are expected to utilize internet services lawfully, and any violation may result in immediate termination of services.
Mail Handling
Crew CoWork, LLC offers mail receipt and sorting services for the convenience of our members. Members must adhere to relevant state and federal laws governing mail receipt and distribution. While we take utmost care in handling incoming mail and packages, Crew CoWork, LLC bears no liability for any loss or damage incurred. Upon termination of services, all mail will be returned to the sender, and it is the responsibility of the terminating member to make forwarding arrangements with relevant postal and delivery services.
Shared Workspace Usage
Members enjoy unlimited access to our shared workspace areas, subject to availability. Designed to foster collaboration and productivity, shared workspace usage is restricted to members only and operates on a first-come, first-served basis. Reservation of shared workspace is not permitted, and members must sign in at the front desk before utilizing the facilities. While intended for convenience, shared workspace is not intended as a permanent substitute for dedicated workspace. Crew CoWork, LLC reserves the right to intervene if it observes misuse of shared workspace and may limit or revoke access accordingly.
Member-Owned Equipment
Prior approval from Crew CoWork, LLC is required for the installation of any member-owned equipment, such as servers, printers, or VOIP phones. Members should be aware that personal equipment may interfere with Crew CoWork, LLC's network, and any resulting disruptions may incur technical support fees. Crew CoWork, LLC disclaims responsibility for the storage or maintenance of member-owned equipment within its premises.
Routine Maintenance
To ensure optimal performance, Crew CoWork, LLC conducts routine technology maintenance during specified windows. While every effort is made to minimize disruptions, members are advised that Crew CoWork, LLC systems may be temporarily offline during these maintenance periods. Refunds or compensations for outages caused by scheduled maintenance are not applicable.
Telephone Number Management
Members utilizing telephone services have the option to port their existing numbers to their chosen provider or retain their numbers for forwarding purposes. Crew CoWork, LLC facilitates this process, but members are responsible for associated costs.
Price Adjustments and Terms
Pricing for month-to-month agreements and additional services may be subject to periodic adjustments with a 30-day notice provided by Crew CoWork, LLC. Additionally, changes to the Terms and Conditions will be communicated to members via email. Pricing and fees may vary across different Crew CoWork, LLC locations.
Default and Termination
Failure to settle invoices or breaches of the MSA or Crew CoWork, LLC Rules may result in immediate termination of services. Crew CoWork, LLC reserves the right to terminate agreements for reasons including disruptive behavior, violations of laws or regulations, or unethical conduct. In such cases, Crew CoWork, LLC may discontinue services and restrict access to its premises.
Security Measures
Member keys and access cards are to be used responsibly and must not be duplicated. Shared entry points are to remain secured, and lost or unreturned keys/cards must be reported immediately. Members may incur replacement costs for lost keys/cards.
Insurance Obligations
Members are responsible for obtaining personal property and liability insurance covering themselves and associated parties within Crew CoWork, LLC premises. Crew CoWork, LLC also maintains its own insurance coverage for property and general liability.
Governing Terms
These Terms and Conditions are governed by the laws of the state in which Crew CoWork, LLC is located, and any disputes shall be resolved through binding arbitration.
Nature of Agreement
The MSA establishes a revocable license and does not confer any tenancy or property rights. Members acknowledge that the MSA is subordinate to lease agreements between Crew CoWork, LLC and its landlords.
Assignment and Maintenance
Dedicated space usage is limited to the Member listed on the MSA. Members are responsible for maintaining dedicated spaces and adhering to usage guidelines.
Miscellaneous Provisions
Crew CoWork, LLC reserves the right to delay enforcing rights without waiving them and may enforce the MSA against heirs or legal representatives of members. Members acknowledge the independent ownership and operation of each Office Evolution business center.
Crew CoWork, LLC Details. Crew CoWork, LLC is an independent entity managing the premises. Legal notices to Crew CoWork, LLC should be delivered in writing via personal delivery or certified mail.
